Terms and Conditions of the Career Service

This agreement provides the terms and conditions under which Canbiotech.com offers its Career Service to you through its Web site/networks. Your participation as a user (as an Employer or Candidate) constitutes your agreement to all of the applicable terms and conditions. Canbiotech.com reserves the right in its sole discretion and without notice to amend or modify the terms and conditions under which the Career Service is being offered to you. Users must accept the Terms and Conditions stated here, in order to use and access the CanBiotech Career Service. As a candidate, by using the Career Service or any part thereof, you agree to be bound by the terms of use applicable to this service.

USE LIMITATION: The Career Service is intended to be used only for lawful purposes by individuals seeking employment and career information and employers seeking employees. Access to and use of the Career Service is through a combination of a User Name and Password. You may not access the Career Service using the name or password of any other party. Unauthorized access to the Career Service, or to the telecommunications or computer facilities used to deliver such service, is a material breach of this agreement and may be a violation of the law. The User assumes all responsibility for any claim, demand or damage resulting from another party obtaining its password. The user shall not attempt to modify, decompile, reverse engineer or otherwise attempt to gain access to any technology or source code underlying the Career Service. By using the Career Service you represent and warrant that you are authorized to provide legally binding employment under applicable law and that the information you provide is accurate, current and complete. If you do not qualify for the above, please do not use the Career Service. We reserve the right at our sole discretion to refuse the Career Service to anyone at any time. We also reserve the right to restrict your access to parts or all of the Career Service and CanBiotech without notice or liability.

CanBiotech specifically prohibits any use of the site, and all users agree not to use the site, for any of the following (all and any of which will preclude a user-candidate or employer from being able to access the career functionality and/or site):

Creating false candidate or employer accounts.
Posting false job information.
Taking any action which imposes an unreasonable or disproportionately large load on this site’s infrastructure.
Disclosing to or sharing your password with any third parties or using your password for any unauthorized purpose.
Aggregating, copying or duplicating in any manner any of the materials or information available from the site.

USER INFORMATION: When registering for an employer account in the Career Service, you will be asked to provide CanBiotech with certain information including, without limitation, a valid email address. A current, verifiable billing address must be provided. CanBiotech will not disclose to any third party your name, address, e-mail address or telephone number without your prior consent, except to the extent necessary or appropriate to comply with applicable laws or in legal proceedings where such information is relevant. Please see CanBiotech’s Privacy Policy for further details regarding your information.

USER SUBMISSIONS: As a user, you are responsible for your own communications and are responsible for the consequences of their posting. You must not, and by using the Career Service you agree not to, do the following things: post material that is copyrighted, unless you are the copyright owner or have the permission of the copyright owner to post it; post material that reveals trade secrets, unless you own them or have the permission of the owner; post material that infringes on any other intellectual property rights of others or on the privacy or publicity rights of others; post material that is obscene, defamatory, threatening, harassing, abusive, hateful, or embarrassing to another user or any other person or entity; post a sexually-explicit image or statement; post advertisements or solicitations of business, post chain letters or pyramid schemes; impersonate another person; or post material that contains viruses or other computer programming routines or engines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information.

CanBiotech does not represent or guarantee the truthfulness, accuracy, or reliability of communications posted by users or endorse any opinions expressed by users. You acknowledge that any reliance on material posted by other users will be at your own risk.

CanBiotech reserves the right to expel users and prevent their further access to the site for violating the Terms and Conditions or the law and the right to remove communications which are abusive, illegal, disruptive or false. CanBiotech may take any action with respect to user-submitted information that it deems necessary or appropriate in its sole discretion if it believes it may create liability for the CanBiotech.

PASSWORDS: During the registration process users are required to provide a password as part of receiving a CanBiotech account. You are responsible for maintaining the confidentiality of your information and password. You shall be responsible for all uses of your registration, whether or not authorized by you. You agree to immediately notify CanBiotech of any unauthorized use of your registration or password.

CanBiotech has instituted a 1 hour idle login to protect users. Within 1 hour of inactivity you will be logged out as a security measure-however it is advised that users logout at the end of a session and assume all responsibility for this.

CANBIOTECH’S LIABILITY: CanBiotech’s Career Service provides employers the opportunity to post job opportunities and candidates to search through such job opportunities. CanBiotech is not involved in the actual transaction between employers and candidates. As a result, the CanBiotech has no control over the quality, safety or legality of the jobs posted, the truth or accuracy of the listings, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings. In addition, note that there are risks, including but not limited to the risk of physical harm, of dealing with strangers, foreign nationals, underage persons or people acting under false pretenses. You assume all risks associated with dealing with other users with whom you come in contact through the service.

In the event that you have a dispute with one or more users, you will release CanBiotech (and our agents and employees) from claims, demands and damages (contractual and extra-contractual, actual and consequential, direct and indirect, punitive) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

CanBiotech shall not be responsible for any employment decisions, for whatever reason made, made by any entity posting jobs on CanBiotech.

WARRANTIES/INDEMNIFICATION: ALL PRODUCTS AND SERVICES OFFERED BY CANBIOTECH, INCLUDING THE CAREER SERVICE AND ANY INFORMATION PRESENTED VIA THE CAREER SERVICE, ARE PRESENTED "AS IS" AND CANBIOTECH MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE MEMBER ORGANIZATIONS' INVOLVEMENT OR PARTICIPATION. CANBIOTECH DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION PROVIDED ON THE CAREER SERVICE REGARDING COMPANY PROFILES AND/OR JOB POSTINGS HAS BEEN VALIDATED NOR DOES CANBIOTECH REPRESENT OR WARRANT THAT THE INFORMATION IS ACCURATE. CANBIOTECH ALSO MAKES NO GUARANTEES AS TO THE SUCCESSFUL OUTCOME FROM USAGE OF THE CAREER SERVICE ON AND OFFLINE OF CANBIOTECH’S SITE.

IN NO EVENT SHALL CANBIOTECH OR ITS AFFILIATES OR SUPPLIERS BE LIABLE FOR ANY DAMAGES, DIRECT OR INDIRECT OR SPECIAL OR CONSEQUENTIAL (INCLUDING NEGLIGENCE), LOST PROFITS OR LOST OPPORTUNITIES RESULTING FROM OR RELATED TO THE TERMS OF USE, FROM LOST DATA OR BUSINESS INTERRUPTION RESULTING FROM THE USE OR INABILITY TO USE THE SITE AND ITS MATERIAL. THE USER AGREES TO BE RESPONSIBLE FOR ANY CLAIMS ARISING OUT OF ANY BREACH OF THE TERMS OF USE.

THE USER HEREBY AGREES TO INDEMNIFY, DEFEND AND HOLD CANBIOTECH AND ITS EMPLOYEES, OFFICERS, DIRECTORS, ADVISORS, SUCCESSORS AND ASSIGNS HARMLESS FROM AND AGAINST ALL LOSSES, COSTS, EXPENSES, LIABILITIES AND DAMAGES OF EVERY NATURE AND KIND, INCLUDING, WITHOUT LIMITATION, INTEREST, PENALTIES, REASONABLE ATTORNEYS' FEES AND ARBITRATION AND/OR LITIGATION COSTS ARISING OUT OF OR IN CONNECTION WITH THE TERMS OF USE OR IN ANY WAY RELATING TO THE SERVICE.

FEES AND PAYMENTS: Career Service FEE OPTIONS are based on the below career packages. Fees are ONLY FOR EMPLOYERS to POST jobs on CanBiotech's networks. Fees are based on a 60-day posting posting option. Should a registered user choose to discontinue usage of the Career Service a member can terminate this agreement at any time by written notice to Canbiotech.com via email subject to the terms of this agreement and with payment of any balances due at the time of termination once the payment system is instituted.

TO VIEW JOBS ON CANBIOTECH REQUIRES ONLY A REGISTRATION ON CANBIOTECH'S NETWORKS-which is free.

FEE STATEMENT PROCESS:
Subscription fees can be paid via CanBiotech's online payment system or via invoicing. Payment online is required within 48 hours and payment via invoice is required within 10 business days.

Employer’s will be billed a monthly finance charge of 1.5% (with a minimum of $0.50) or the highest amount permitted by applicable law - whichever is lower - if an employer’s account becomes past due. Employers also agree to pay all reasonable collection costs, including attorneys' fees. An employer’s account may be suspended for non-payment or exceeding approved credit limits, and employers may be responsible for collection costs including attorneys' fees. A $25.00 U.S. service charge will be charged for returned checks.

Employers may direct questions regarding fee statements to career@canbiotech.com.  Employers agree to maintain a current and valid e-mail address in their corresponding registration information and company profile.

To the extent registration, subscriber, or other information in the invoice is inaccurate, the employer agrees to provide CanBiotech with accurate and updated information.

REFUNDS: CanBiotech does not offer refunds for paid postings.

TERMINATION: 
CanBiotech reserves the right, at its sole discretion, to pursue all of its legal remedies, including but not limited to deletion of your postings from this site and immediate termination of your registration with or ability to access the site and/or any other service provided to you by CanBiotech, upon any breach by you of these Terms and Conditions or if CanBiotech is unable to verify or authenticate any information you submit to the site and/or career registration. The user may terminate this agreement at any time by written notice to Canbiotech.com via email.

NOTICES: Notices to Canbiotech.com under this agreement shall be delivered via email to career@canbiotech.com . The user hereby consents to being contacted by Canbiotech.com from time to time in connection with new services, updates, etc.

NO SPAM: Canbiotech.com will immediately terminate any user which it believes, in its sole discretion, is transmitting or is otherwise connected with any spam or other unsolicited bulk email directed at members of Canbiotech.com.

MISCELLANEOUS: This agreement constitutes the entire agreement between the parties, and supersedes any and all prior agreements, between Canbiotech.com and the user with regard to the Career Service. The failure to enforce any provision of this agreement will not result in a waiver of any rights either party may have under this agreement. If any provision of this agreement is held to be unenforceable, it will not affect the enforceability of the other provisions. Canbiotech.com will not be liable for any delay or failure of the Career Service due to any event beyond its control or otherwise including natural disasters, acts of government or war, etc. Nothing in this agreement may be construed to make either party the agent or partner of the other. This agreement shall be construed and interpreted according to the laws of the province of Ontario and, when necessary the federal laws of Canada. In so doing, there will be no effect given to the principles of conflicts of law.
